TERMS AND CONDITIONS

These Terms and Conditions govern access to and use of the Demanji platform, website, applications, services, content, products, experiences, software, systems, and related functionalities made available by Demanji. By accessing, browsing, registering with, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions, as amended from time to time.

If you do not agree to these Terms and Conditions, you must not access or use the Platform.
Demanji reserves the right, at its sole discretion and without prior notice, to revise, amend, supplement, or replace these Terms and Conditions at any time. Any updated version shall become effective upon publication on the Platform unless otherwise stated. Your continued use of the Platform following such publication shall constitute your acceptance of the revised Terms and Conditions.

1. DEFINITIONS

For the purposes of these Terms and Conditions, the following definitions shall apply:
“Content” means any and all text, graphics, images, photographs, music, sound, software, code, data, audio, video, information, documents, designs, reviews, comments, calendar information, scheduling information, message threads, quotations, profile information, listings, offers, or other materials made available on, through, or in connection with the Platform, whether by Demanji, Users, third parties, or otherwise.

“Customer” means any User who registers on the Platform and receives information, offers, quotes, products, services, experiences, or other commercial or professional proposals relevant to such User’s needs, or who otherwise uses the Platform to browse, request, receive, review, purchase, schedule, facilitate, or pay for products, services, or experiences.

“User” means any individual or legal entity that accesses, browses, registers, submits content to, receives information from, interacts with, requests through, or otherwise uses the Platform, including without limitation Customers, Service Providers, Businesses, Sellers, partners, or other participants.
“Platform” means the Demanji website, mobile application, software, systems, technology, interfaces, tools, processes, algorithms, communication functionalities, and any other products, services, or digital infrastructure provided by, through, or on behalf of Demanji.

“Demanji Services and Experiences” means the services, experiences, bookings, offers, opportunities, or commercial activities listed, quoted, offered, marketed, scheduled, facilitated, or provided by registered businesses, sellers, professionals, or other providers, or sought, scheduled, booked, purchased, or received by Customers through the Platform.

“Service Providers” or “Businesses” means any User, business owner, seller, professional, merchant, contractor, consultant, company, or other person or entity registered with or using the Platform to offer, advertise, quote, list, sell, provide, receive payment for, facilitate, or otherwise participate in the provision of products, services, or experiences.

“Demanji Content” means all Content made available by Demanji on or through the Platform, including content licensed from third parties, but excluding User Content.

“User Content” means all Content submitted, posted, uploaded, published, listed, transmitted, displayed, communicated, or otherwise made available on or through the Platform by any User or third party, including without limitation photographs, videos, profile information, descriptions, offers, listings, reviews, comments, ratings, pricing, payment-related information, and other materials, but excluding Demanji Content.

2. NATURE OF THE PLATFORM

Demanji is a technology platform operating under applicable European legal standards and relevant mandatory laws. Demanji provides digital infrastructure intended to facilitate discovery, presentation, engagement, communication, booking, purchase, scheduling, and transactional interaction between Customers and Service Providers.

Demanji is not the provider, manufacturer, merchant of record, producer, employer, principal, agent, contractor, insurer, guarantor, broker, or operator of the underlying third-party products, services, or experiences offered by Users through the Platform, unless expressly stated otherwise in writing.
Demanji may provide access to categories including, without limitation:

  • nutrition and wellness services;
  • fitness and training services;
  • beauty and personal care services;
  • video, marketing, and digital services;
  • healthy products;
  • food and beverages;
  • gifts and delicacies;
  • accessories and bags;
  • office and productivity products;
  • luxury goods;
  • skincare and personal care products;
  • technology and gadgets;
  • furniture and household products;
  • dry cleaning and premium delivery;
  • vouchers and redeemable offers;
  • travel, accommodation, learning, sports, hobbies, tickets, events, and dining experiences;
  • website management and app development;
  • B2B strategic support, technical assistance, education, workshops, security maintenance, and flow analysis;
  • and any other products, services, categories, or experiences that Demanji may add, remove, expand, or modify from time to time in its sole discretion.

The Platform enables Users to send requests to Service Providers and/or purchase products. In the case of product purchases, Users may proceed to checkout and access information such as product descriptions, pricing, images, videos, and business details. In the case of services or experiences, the Platform may notify the User if a Service Provider accepts the request and may provide details regarding the Service Provider, including name, location, media, pricing, and communication features.

All decisions whether to accept, reject, price, fulfill, deliver, or otherwise perform any request, order, service, or transaction remain solely and exclusively within the discretion of the relevant Service Provider or Business, except where Demanji expressly states otherwise.

Demanji will use reasonable efforts to facilitate contact between Customers and Service Providers, but does not guarantee any response, booking, sale, service outcome, product availability, delivery, or match.
For the avoidance of doubt, Demanji is a technology company and intermediary platform only. Demanji does not employ Service Providers, does not supervise the underlying work or service performance, and is not responsible for the acts, omissions, quality, legality, timing, safety, suitability, availability, pricing, representations, warranties, conduct, or performance of third-party Service Providers, sellers, or businesses.

3. ELIGIBILITY AND LEGAL CAPACITY

By using the Platform, you represent and warrant that:

  • you are legally capable of entering into a binding agreement under applicable law;
  • you are at least sixteen (16) years of age, or such higher age as may be required by law in your jurisdiction for the relevant activity;
  • you have the right, authority, and capacity to use the Platform and comply with these Terms and Conditions;
  • if you register or act on behalf of a legal entity, you are duly authorized to bind such entity to these Terms and Conditions; and
  • all information submitted by you is true, complete, accurate, current, and not misleading.

Demanji reserves the right to refuse access, suspend accounts, reject requests, cancel transactions, or terminate relationships where Demanji reasonably believes a User does not meet legal eligibility requirements or has provided false, incomplete, fraudulent, or misleading information.

4. USER INFORMATION AND ACCOUNT RESPONSIBILITIES

4.1 Customer Information

Customers may be required to provide personal and transactional information, including without limitation name, email address, telephone number, location, age, delivery information, and any other details reasonably necessary for identification, service facilitation, payment processing, fraud prevention, and transaction completion.

You agree to keep all such information accurate, complete, and current at all times. Demanji may request proof of identity, age, ownership, authority, payment details, or other verification documents at its discretion.

If your information changes, you must promptly update your account or notify Demanji. Demanji shall use reasonable efforts to process requested updates within a reasonable time.

4.2 Service Provider Information

Service Providers, sellers, businesses, and professional users may be required to provide business, service, product, operational, commercial, tax, payment, identity, and compliance information necessary for onboarding, listing, verification, and ongoing platform participation.
Demanji may display or make available certain information relating to Service Providers, including business name, location, availability, images, videos, descriptions, pricing, and other commercial information to facilitate informed interaction between parties.

4.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. You must immediately notify Demanji if you suspect unauthorized access, misuse, loss of credentials, hacking, theft of a device, or compromise of your account.
Demanji shall not be liable for any loss, damage, or unauthorized activity arising from your failure to maintain account security or promptly report such issues.

5. RELATIONSHIP BETWEEN DEMANJI AND USERS

Service Providers are independent contractors, independent businesses, or independent sellers. Nothing in these Terms and Conditions shall be construed to create any employment, agency, joint venture, franchise, partnership, fiduciary, representative, or similar relationship between Demanji and any User.
Demanji does not direct, control, supervise, or manage the manner or means by which Service Providers perform services, sell products, fulfill orders, communicate with Customers, or conduct their business activities.

Customers and Service Providers deal with each other at their own discretion and risk. Demanji is not a party to contracts formed between Users unless expressly stated in writing.

6. PLATFORM CONTENT AND THIRD-PARTY INFORMATION

Demanji may identify, curate, aggregate, or display businesses, providers, products, services, logos, trademarks, or public information sourced from publicly available online materials, search engines, websites, or other lawful sources for informational, discovery, or onboarding purposes.
Demanji does not claim ownership over third-party logos, brands, trademarks, manufacturer data, or business information belonging to Service Providers, sellers, partners, or external businesses. All such rights remain with their respective owners.

Demanji may approach businesses, providers, and service operators to explore partnerships, collaborations, registrations, and commercial participation on the Platform.
Nothing on the Platform constitutes a guarantee, endorsement, certification, sponsorship, or representation by Demanji as to the accuracy, legality, quality, ownership, availability, or authenticity of third-party information unless expressly stated by Demanji.

7. USER CONDUCT

You agree that you shall:

  • use the Platform only for lawful purposes;
  • provide accurate and complete information;
  • treat other Users respectfully and professionally;
  • not engage in fraudulent, abusive, threatening, discriminatory, unlawful, or harassing conduct;
  • not misuse confidential or personal information obtained through the Platform;
  • not circumvent, disrupt, exploit, reverse engineer, scrape, copy, interfere with, or manipulate the Platform or its systems;
  • not use the Platform to infringe intellectual property or privacy rights;
  • not submit or upload false, defamatory, illegal, obscene, harmful, or misleading content;
  • not engage in conduct that may damage the reputation, goodwill, operations, or legal position of Demanji.

Service Providers and Customers each undertake to keep confidential the information received through the Platform and to use such information solely as necessary for legitimate transaction-related purposes.
Demanji reserves the right, at its sole discretion, to investigate, moderate, remove content, restrict access, suspend accounts, report conduct to authorities, or take any other action it deems appropriate where it believes a User has violated these Terms and Conditions, applicable law, or the integrity of the Platform.

8. ORDERS, REQUESTS, BOOKINGS, AND ACCEPTANCE

Customers must provide accurate and complete information regarding the requested products, services, quantities, specifications, addresses, timing, and any relevant characteristics. You are solely responsible for the accuracy and sufficiency of information you provide.

Service Providers retain full discretion to accept or reject requests, quotes, orders, or bookings. Demanji does not guarantee that a request will be accepted, fulfilled, or completed.

Demanji and/or the relevant Service Provider may refuse, reject, cancel, or decline any request or transaction where there are reasonable grounds to believe that:

  • the request is unlawful, fraudulent, abusive, misleading, unsafe, or impossible to fulfill;
  • the User is in breach of these Terms and Conditions;
  • compliance with the request would violate applicable law, platform policies, or third-party rights;
  • there are security, payment, verification, age, operational, or reputational concerns.

Prices, availability, and details shown on the Platform may change from time to time. Demanji does not guarantee that listings, offers, prices, stock, availability, or schedules will remain unchanged.

9. PROMOTIONS, REWARDS, AND PLATFORM ASSETS

Demanji may, at its sole discretion, offer promotions, vouchers, credits, benefits, loyalty mechanisms, or ecosystem-based rewards from time to time. Such promotions may be subject to separate terms and may be modified, suspended, withdrawn, expired, limited, or terminated at any time without liability unless otherwise required by law.

Users may not sell, transfer, duplicate, exploit, or misuse promotions or Petals except as expressly permitted by Demanji.

10. PAYMENT TERMS

All pricing information on the Platform is believed to be correct at the time of publication, but Demanji does not guarantee that pricing will remain unchanged or error-free. Demanji reserves the right to correct pricing errors, change prices, amend fees, withdraw offers, or update listings at any time.
Users are solely responsible for all internet, telecommunications, device, bank, card, and related charges incurred in using the Platform.

The rates, fees, or prices applicable to products and services are determined by the relevant Service Provider, seller, or business, unless expressly stated otherwise. Demanji may assist in displaying or calculating such fees for convenience, but Demanji does not independently warrant or guarantee pricing accuracy.

By placing an order or confirming a booking, you authorize payment of all applicable charges, including taxes, fees, delivery costs, service charges, and any other disclosed or legally applicable amounts.
Where Demanji facilitates payment collection, such payment may be held, processed, or transferred through third-party payment processors or technology partners. Payment services may include providers such as Wix Payments, Stripe, Adyen, PayPal, Klarna, Apple Pay, iDEAL, Mastercard, Visa, and others as applicable.

Such payment services are subject to the terms and conditions of the applicable payment provider. By using payment processing through the Platform, you agree to the relevant third-party payment terms and authorize Demanji to share relevant personal, business, and transaction information with payment processors as required for onboarding, compliance, fraud prevention, and payment execution.
Demanji may hold, delay, reject, reverse, suspend, or cancel payments where required for legal, compliance, risk, verification, fraud prevention, dispute, or operational reasons.

Demanji shall not be liable for acts, omissions, delays, rejections, chargebacks, reserve actions, compliance reviews, processing failures, or service interruptions attributable to third-party payment processors, banks, or payment institutions.

11. NO WARRANTY

To the fullest extent permitted by law, the Platform, Demanji Content, Demanji services, reward features, software, systems, and all related functionalities are provided on an “as is,” “as available,” and “with all faults” basis.

Demanji makes no representation, warranty, condition, or guarantee of any kind, whether express, implied, statutory, or otherwise, including without limitation any warranty of:

  • merchantability;
  • fitness for a particular purpose;
  • satisfactory quality;
  • non-infringement;
  • uninterrupted availability;
  • error-free operation;
  • security;
  • compatibility;
  • timeliness;
  • reliability;
  • accuracy;
  • completeness;
  • lawful or satisfactory conduct by Users;
  • quality, legality, safety, or performance of third-party products, services, or experiences.

Demanji does not warrant that:

  • the Platform will meet your requirements or expectations;
  • any listings, services, experiences, products, or providers will be available;
  • data will be accurate, complete, current, or reliable;
  • defects will be corrected;
  • the Platform or its servers are free from viruses or harmful components;
  • communications between Users will be safe, truthful, lawful, or effective.

Your use of the Platform is entirely at your sole risk.

12. DISCLAIMERS REGARDING THIRD-PARTY PRODUCTS, SERVICES, AND CONDUCT

Demanji is not liable for injury, death, loss, damage, theft, delay, misconduct, non-performance, fraud, negligence, breach of contract, illegality, criminal conduct, reputational harm, or other acts or omissions committed by any Service Provider, Customer, seller, business, courier, venue, organizer, guest, third party, or other User. Demanji may, but is not obliged to, carry out background checks, approval processes, onboarding reviews, content reviews, or screening procedures. Any such action does not constitute a guarantee, certification, warranty, or endorsement and does not create liability for Demanji.

You acknowledge that Demanji does not continuously monitor, supervise, verify, inspect, or audit all User activity, listings, services, products, reviews, or conduct.

Users are solely responsible for their communications, transactions, interactions, meetings, deliveries, exchanges, agreements, and dealings with other Users or third parties, including offline or in-person interactions.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Demanji shall not be liable for any direct, indirect, incidental, consequential, special, punitive, exemplary, or economic damages, including without limitation loss of profits, loss of business, loss of revenue, loss of goodwill, loss of opportunity, loss of data, business interruption, reputational loss, personal injury, death, or property damage arising out of or in connection with:

  • use of or inability to use the Platform;
  • reliance on any content, listing, provider information, review, or representation;
  • acts or omissions of Users or third parties;
  • delays, interruptions, outages, or technical failures;
  • payment processing errors or failures;
  • security incidents or unauthorized access;
  • cancelled or unsuccessful orders, bookings, or transactions;
  • products, services, or experiences obtained through the Platform.

Where liability cannot be excluded by law, Demanji’s aggregate liability for any claim arising out of or relating to the Platform or these Terms and Conditions shall be limited, to the fullest extent permitted by law, to the lesser of:

  1. the amount actually paid by you to Demanji, if any, in the three (3) months preceding the event giving rise to the claim; or
  2. EUR 100.

Nothing in these Terms and Conditions shall exclude or limit liability where such exclusion or limitation is prohibited by mandatory law.

14. ACCOUNT SUSPENSION, RESTRICTION, AND TERMINATION

Demanji reserves the right, in its sole discretion and with or without cause, explanation, or prior notice, to suspend, restrict, deactivate, block, remove, or terminate any account, listing, access right, reward balance, content, or platform participation where Demanji believes it is appropriate to do so.
This may occur, without limitation, in cases involving:

  • breach of these Terms and Conditions;
  • suspected fraud, abuse, or unlawful activity;
  • inaccurate or misleading information;
  • repeated complaints or reputational risk;
  • payment issues, disputes, or chargebacks;
  • security concerns;
  • regulatory, legal, or compliance requirements;
  • operational reasons or platform restructuring.

Demanji shall not be liable for any losses, missed opportunities, commissions, business interruption, removed content, cancelled bookings, withheld access, or reputational harm resulting from such actions.
If your account is terminated, Demanji may retain or delete content, transaction data, and account information as permitted or required by law and operational necessity.

15. INTELLECTUAL PROPERTY

All intellectual property rights in and to the Platform, Demanji Content, software, systems, layouts, branding, structure, graphics, code, text, databases, compilations, processes, and functionalities are and shall remain the exclusive property of Demanji and/or its licensors. Nothing in these Terms and Conditions grants any User any ownership rights in the Platform or Demanji Content.

By submitting, uploading, posting, publishing, transmitting, or otherwise making User Content available on or through the Platform, you represent and warrant that:

  • you own or control all necessary rights, permissions, licenses, and consents in such User Content;
  • such User Content does not infringe any third-party rights;
  • such User Content does not contain illegal, harmful, obscene, misleading, malicious, infected, or otherwise prohibited materials.

You hereby grant Demanji a worldwide, non-exclusive, royalty-free, sublicensable, transferable, irrevocable, perpetual license to use, host, store, reproduce, publish, modify, adapt, translate, distribute, display, perform, market, promote, communicate, make available, and otherwise exploit such User Content for the operation, development, promotion, defense, and commercialization of the Platform and Demanji’s business. Demanji reserves the right to remove, refuse, edit, restrict, or delete User Content at any time and without notice.

16. INDEMNITY

You agree to indemnify, defend, and hold harmless Demanji, its affiliates, directors, officers, employees, advisors, licensors, partners, contractors, and representatives from and against any and all claims, actions, demands, investigations, liabilities, damages, judgments, losses, costs, fines, penalties, expenses, and legal fees arising out of or relating to:

  • your breach of these Terms and Conditions;
  • your use or misuse of the Platform;
  • your products, services, listings, content, conduct, communications, or transactions;
  • your violation of any law, regulation, or third-party right;
  • your negligence, fraud, misconduct, omission, or willful act;
  • disputes between you and other Users or third parties.

This indemnity includes protection for Demanji’s reputation, goodwill, business operations, and legal position.

17. CONFIDENTIALITY

Each party shall keep confidential all confidential or proprietary information obtained from the other party in connection with the Platform, any transaction, or any related commercial relationship, unless disclosure is required by law or expressly authorized.
Users shall not disclose, misuse, exploit, copy, or disseminate confidential information obtained through the Platform except as strictly necessary for the relevant transaction or service.

18. PRIVACY

Personal information processed by Demanji is handled in accordance with Demanji’s Privacy & Cookie Policy, as amended from time to time.
By using the Platform, you acknowledge that you have read and accepted the Privacy & Cookie Policy and consent, where required by law, to the collection, processing, storage, use, and disclosure of your personal information as described therein.

19. FORCE MAJEURE

Demanji shall not be liable for any failure, delay, interruption, suspension, degradation, or non-performance resulting from events or circumstances beyond its reasonable control, including but not limited to force majeure, acts of God, labor disputes, strikes, pandemics, governmental actions, sanctions, telecommunications failures, cyber incidents, supplier failures, power outages, natural disasters, acts of war, civil unrest, infrastructure failures, transport disruption, legal restrictions, censorship, or technical breakdowns.

During the continuation of a force majeure event, Demanji’s obligations shall be suspended to the extent affected. Demanji may terminate, suspend, or modify affected services without liability where force majeure persists or materially impacts performance.

20. APPLICABILITY, SEVERABILITY, AND ENTIRE AGREEMENT

These Terms and Conditions apply to all offers, quotations, uses of the Platform, services, transactions, communications, and agreements between Demanji and any User, unless expressly agreed otherwise in writing.

Any general terms or conditions of a User are expressly excluded and shall not apply unless Demanji expressly accepts them in writing. If any provision of these Terms and Conditions is held invalid, unlawful, unenforceable, or void, the remaining provisions shall remain in full force and effect. The invalid provision shall be deemed replaced by a valid provision that most closely reflects the original commercial intent.
These Terms and Conditions, together with any other policies expressly incorporated by reference, constitute the entire agreement between Demanji and the User with respect to the subject matter hereof, except where a separate written agreement expressly prevails.

21. GOVERNING LAW AND JURISDICTION

These Terms and Conditions and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Netherlands.
Any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, the Platform, or any related relationship between Demanji and a User shall be submitted exclusively to the competent courts of the Netherlands, unless mandatory law provides otherwise.
Demanji shall, however, remain entitled to seek injunctive relief, interim relief, conservatory measures, or enforcement in any competent jurisdiction where necessary to protect its rights, interests, systems, intellectual property, confidential information, or operations.
